Plain language promise: These terms are written for humans, not lawyers. We've made every effort to be clear about what you can expect from us and what we expect from you.
Agreement Overview
These Terms of Service ("Terms") govern your use of Li'nage Cloud, a software supply chain intelligence platform operated by Li'nage Technologies ("we," "our," or "us").
By creating an account or using Li'nage Cloud, you agree to these Terms. If you're using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
The Essential Points

- ✓ We provide the service "as available" with reasonable uptime commitments
- ✓ You're responsible for how your team uses the platform
- ✓ Either party can terminate with 30 days notice
- ✓ We don't claim ownership of your dependency data or analysis results
What Li'nage Cloud Provides
Li'nage Cloud is a software-as-a-service platform that provides:
- Dependency analysis: Automated ingestion and analysis of software dependencies from your repositories
- Visual intelligence: Interactive 3D visualization of your software supply chain
- Impact analysis: Calculation of blast radius for dependency changes
- Audit trail: Immutable logs of supply chain modifications
- API access: Programmatic access to your dependency data
- Team collaboration: Multi-user workspaces with role-based access control

Your Account
Registration
To use Li'nage Cloud, you must create an account with accurate information. You are responsible for:
- Providing truthful registration information
- Maintaining the security of your account credentials
- Notifying us immediately of any unauthorized access
- All activity that occurs under your account
Account Types
Li'nage Cloud offers individual and organization accounts:
- Individual accounts: For personal use or evaluation purposes
- Organization accounts: For teams and companies, with administrative controls and team member management
Organization administrators are responsible for managing team member access and ensuring compliance with these Terms across their organization.
Acceptable Use
You agree to use Li'nage Cloud only for lawful purposes and in accordance with these Terms. Specifically, you agree NOT to:
Prohibited Activities
- Violate laws: Use the service for any illegal purpose or in violation of applicable laws
- Abuse the service: Attempt to overwhelm, disrupt, or exploit our infrastructure
- Reverse engineer: Attempt to reverse engineer, decompile, or extract source code from the platform
- Circumvent limits: Attempt to bypass usage quotas, rate limits, or access controls
- Misrepresent identity: Impersonate others or misrepresent your affiliation with any entity
- Resell access: Resell or redistribute access to the platform without authorization
- Scrape or harvest: Use automated tools to scrape content beyond what is provided through our API
Data You Submit
You are responsible for all data you submit to Li'nage Cloud. You represent that:
- You have the right to submit the data (ownership or proper authorization)
- The data does not contain malicious code or content
- The data does not infringe on third-party intellectual property rights
- The data complies with all applicable data protection laws
Your Data and Intellectual Property
Ownership
You retain full ownership of your data. This includes:
- All repository metadata you submit
- Dependency analysis results generated from your data
- Custom configurations and settings
- Any documentation you upload to the platform
License to Us
To provide the service, you grant us a limited license to:
- Store and process your data on our infrastructure
- Display your data back to you and your authorized team members
- Create backups for disaster recovery purposes
- Generate anonymized, aggregated statistics (never including identifiable information)
This license terminates when you delete your data or account.
Our Intellectual Property
Li'nage Cloud, including its software, visual design, documentation, and branding, is owned by Li'nage Technologies. You receive a limited, non-exclusive, non-transferable license to use the platform according to your subscription plan.
Payment and Subscriptions
Free Tier
Our free tier provides limited access to Li'nage Cloud features at no cost. Free tier accounts may be subject to:
- Usage quotas (projects, team members, API calls)
- Feature limitations compared to paid plans
- Display of non-intrusive advertisements
Paid Subscriptions
Paid plans are billed according to the pricing displayed at time of purchase:
- Billing cycle: Monthly or annual, depending on your selection
- Payment method: Credit card or invoice (enterprise plans only)
- Auto-renewal: Subscriptions automatically renew unless cancelled
- Price changes: We provide 30 days notice before any price increases take effect
Refunds
We offer a 14-day money-back guarantee for new paid subscriptions. After this period:
- Monthly plans: No refunds for partial months
- Annual plans: Pro-rata refund available for unused months if cancelled due to service issues
Service Availability
Uptime Commitment
We strive to maintain high availability:
- Target uptime: 99.9% monthly uptime for paid plans
- Scheduled maintenance: Communicated at least 48 hours in advance when possible
- Status page: Real-time service status available at /status
No Guarantee
Despite our best efforts, we cannot guarantee uninterrupted access. The service may be unavailable due to:
- Scheduled or emergency maintenance
- Third-party service outages (cloud providers, payment processors)
- Circumstances beyond our reasonable control (force majeure)
Termination
By You
You may terminate your account at any time from your account settings. Upon termination:
- Your access to the platform ends immediately
- You have 30 days to export your data before permanent deletion
- Unused subscription time is not refundable (except as noted above)
By Us
We may terminate or suspend your account if:
- You violate these Terms
- Your payment fails and remains unresolved for 14 days
- Continued service poses a security risk to other users
- Required by law or court order
Except in cases of severe violation or legal requirement, we will provide 30 days notice before termination.
Disclaimers and Limitations
Disclaimer of Warranties
Li'nage Cloud is provided "as is" and "as available." While we work hard to provide a reliable service, we make no warranties regarding:
- Uninterrupted or error-free operation
- Accuracy or completeness of dependency analysis
- Fitness for a particular purpose
- Non-infringement of third-party rights
Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, or consequential damages
- Our total liability is limited to the amount you paid us in the 12 months preceding the claim
- These limitations apply regardless of the legal theory of the claim
Important Context
Li'nage Cloud provides supply chain intelligence, not security guarantees. While our analysis can help identify risks, you remain responsible for your security decisions and implementation. We recommend using Li'nage alongside—not instead of—your existing security tools and practices.
Indemnification
You agree to indemnify and hold harmless Li'nage Technologies from claims arising from:
- Your violation of these Terms
- Your violation of applicable laws
- Third-party claims related to data you submit
- Your use of the service in violation of our acceptable use policy
Dispute Resolution
We prefer to resolve disputes informally when possible. If a dispute arises:
- Contact us first: Email legal@linage.cloud with a description of the issue
- Good-faith negotiation: We'll work together for 30 days to find a resolution
- Formal proceedings: If negotiation fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Changes to These Terms
We may update these Terms as our service evolves. For material changes:
- We will provide 30 days advance notice via email
- We will post a prominent notice in the application
- Continued use after the effective date constitutes acceptance
- If you disagree with changes, you may terminate your account before they take effect
General Provisions
- Entire Agreement: These Terms constitute the complete agreement between you and Li'nage Technologies regarding the service.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Our failure to enforce a provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger or acquisition.
- Notices: We will send notices to the email address associated with your account. You should send notices to legal@linage.cloud.
